Paris, December 22, 2020 – D’Ornano Partners’ team, composed of François d’Ornano, founding partner, and Ákos Szenczy, senior associate, advised the Groupama Group in the acquisition by its Hungarian subsidiary of the entire share capital of OTP Osiguranje, an insurance company owned by the OTP bank in Croatia.
D’Ornano Partners advised Groupama during all the negotiations. In particular, the firm participated in the drafting of the contractual documentation and the acquisition agreement.
On the Croatian law aspects of the transaction, D’Ornano Partners worked in cooperation with the law firm Iveković Attorneys at Law (Zagreb) whose team consisted of Branimir Iveković, managing partner and Paula Kiš, associate.
The transaction is expected to close in the first half of 2021, subject to obtaining the necessary regulatory approvals.
Groupama called upon the firm of D’Ornano Partners for its expertise in business law in Central and Eastern Europe, where the firm regularly acts for its international clients. The firm had already acted in 2019 on Groupama’s acquisition of Express Life in Bulgaria.
